Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of ChatNest ("the Platform"), operated by Code Nest Technologies ("we", "us"). By creating an account or using the Platform you agree to these Terms and to our Privacy Policy.

2. The service

The Platform lets businesses connect their own WhatsApp Business Account via the official Meta WhatsApp Business Cloud API to send and receive WhatsApp messages, manage customer conversations, create message templates, and run messaging campaigns. The Platform is an application layer on top of Meta's API; we are not affiliated with, or endorsed by, Meta Platforms, Inc. or WhatsApp LLC.

3. Your WhatsApp obligations

Use of WhatsApp through the Platform additionally requires that you comply with:

In particular you must obtain valid opt-in consent before messaging customers, honor opt-out requests, and send template messages only in the categories Meta has approved. Meta may restrict or suspend WhatsApp accounts that violate its policies; we are not responsible for such enforcement.

4. Acceptable use

You must not use the Platform to:

  • send spam, unsolicited, or misleading messages, or message people without consent;
  • engage in illegal activity, fraud, harassment, or distribution of prohibited content;
  • infringe intellectual-property or privacy rights of others;
  • attempt to breach, probe, or overload the Platform's security or infrastructure;
  • resell the service without a written agreement with us.

We may suspend or terminate accounts that violate these Terms, with notice where practicable.

5. Fees and billing

  • Subscription fees — charged per plan, monthly or annually, as published or agreed.
  • Message charges — depending on your configuration, WhatsApp conversation/message charges are billed either directly by Meta to your account, or by us at the rates shown in your plan.
  • Prepaid wallet balances are redeemable against usage and are non-transferable.
  • Invoices are issued with applicable taxes (including GST where required). Overdue invoices may lead to service suspension after notice.
  • Fees are non-refundable except where required by law or expressly agreed.

6. Your data

You retain ownership of contact lists and message content you process through the Platform. You grant us the rights needed to operate the service (storing, transmitting, and displaying that data to your authorised users). You are responsible for having a lawful basis to process your customers' data.

7. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. The Platform depends on third-party services (including Meta's API and payment gateways) whose outages are outside our control. We may modify features with reasonable notice of material changes.

8. Limitation of liability

To the maximum extent permitted by law, Code Nest Technologies is not liable for indirect, incidental, or consequential damages, loss of profits, or loss of data. Our aggregate liability for any claim is limited to the fees you paid us in the three months preceding the claim.

9. Termination

You may cancel at any time from your account. We may terminate for material breach of these Terms. On termination, you may export your data for a reasonable period, after which it is deleted per our Privacy Policy.

10. Governing law

These Terms are governed by the laws of India. Courts at the registered place of business of Code Nest Technologies have exclusive jurisdiction, subject to any mandatory consumer-protection rules.
